Terms of Service

Eligibility and authority

You must be legally capable of entering this agreement. If you have not reached the age of legal capacity where you live, a parent or legal guardian must review and agree to these Terms for you. The Service is not directed to children under 13. If you use the Service for an organization, you represent that you are authorized to bind that organization.

Accounts

You sign in through a third-party identity and authentication provider. You are responsible for activity under your account, maintaining the security of your sign-in credentials, and promptly notifying us about suspected unauthorized access. Do not share or transfer your account.

Information you provide must be accurate, and you may not impersonate another person or use the Service for someone else without authorization.

The Service and AI-generated audio

WavWire uses automated systems and third-party AI providers to interpret prompts and generate music or sound effects. Outputs may be inaccurate, unsuitable, incomplete, or similar or identical to content generated for other users. We do not promise that an output is unique, copyrightable, non-infringing, commercially usable, or fit for a particular purpose.

You must review outputs before relying on or distributing them. You are responsible for determining whether your intended use requires licenses, permissions, disclosures, clearances, or professional advice.

Your content

You retain your rights in prompts, refinement text, uploaded materials, and other content you provide (“User Content”). You grant WavWire and its service providers a worldwide, non-exclusive, royalty-free license to host, store, reproduce, transmit, modify, and otherwise process User Content only as needed to operate, secure, support, and improve the Service, comply with law, and enforce these Terms.

You represent that you have all rights and permissions necessary to provide User Content and authorize this processing. Do not submit confidential or sensitive information you are not authorized to share.

WavWire does not use User Content to train a WavWire model. Third-party providers process User Content under their applicable service terms and WavWire account settings. Our collection and analytics practices, including prompt capture and session replay, are described in the Privacy Policy.

Generated outputs

As between you and WavWire, and to the extent permitted by applicable law, you own the rights, if any, that WavWire obtains in audio generated for you. To the extent WavWire owns any such rights, WavWire assigns them to you upon generation, subject to these Terms and payment of applicable credits.

This does not give you rights in third-party material, other users' content, provider technology, WavWire software, or trademarks. Because outputs may not be unique, your rights do not prevent WavWire or its providers from generating or allowing similar outputs for others.

Prohibited uses

You may not use the Service to:

• Violate law or another person's intellectual-property, privacy, publicity, contractual, or other rights.
• Clone, imitate, or exploit a person's voice or identity without all required authorization.
• Create or distribute unlawful, fraudulent, deceptive, abusive, exploitative, hateful, or sexually exploitative content.
• Submit malware, disrupt the Service, evade limits, probe security, scrape at scale, or gain unauthorized access.
• Resell access, transfer credits, reverse engineer protected parts of the Service, or remove proprietary notices except where law permits.
• Represent generated content as human-created where disclosure is legally required.

Credits, pricing, and payment

• Credits are a limited right to use generation features. They are not currency, stored value, property, or redeemable for cash.
• The current generation cost appears in the Service. A request may create multiple samples and consume one credit per generated sample.
• When our systems detect a failed sample, the corresponding credit is intended to be restored. Contact us if a technical failure is not credited correctly.
• Purchased credits do not currently expire. Promotional credits may have separate limits and may be changed or withdrawn.
• We may change pack prices and future credit costs prospectively. We will not retroactively change the price paid for completed purchases.
• Our third-party payment processor handles payments. You authorize the displayed charge, including applicable taxes, when you confirm checkout.

Refunds, disputes, and taxes

Credit purchases are final and non-refundable except where required by law or where WavWire agrees otherwise. Dissatisfaction with a successfully generated output does not by itself entitle you to a refund. Nothing in these Terms limits mandatory consumer rights, including any withdrawal or refund right that cannot lawfully be waived.

Contact us before initiating a payment dispute so we can investigate. Fraudulent chargebacks, payment abuse, or unpaid amounts may result in suspension, reversal of associated credits, or account termination. You are responsible for taxes imposed on your purchase except taxes based on WavWire's income.

WavWire property and license

WavWire and its licensors own the Service, including its software, interfaces, branding, documentation, and technology, excluding User Content and the rights in generated outputs described above. Subject to these Terms, WavWire grants you a limited, non-exclusive, non-transferable, revocable license to use the Service for personal or commercial creative work.

Feedback

If you voluntarily provide product feedback or suggestions, you grant WavWire a perpetual, worldwide, royalty-free right to use that feedback without restriction or compensation. This section does not transfer ownership of your prompts, uploaded materials, or generated audio.

Copyright concerns

Send copyright notices to info@wavwire.ai with identification of the protected work and challenged material, your contact information, a good-faith statement that the use is unauthorized, a statement under penalty of perjury that the notice is accurate and you are authorized to act, and your signature.

Suspension and termination

You may stop using the Service at any time and may request account deletion by emailing us. We may limit, suspend, or terminate access if you violate these Terms, create risk or legal exposure, fail to pay, abuse the Service, or if continued operation is no longer commercially practical.

After termination, you may lose access to stored generations and unused credits. Provisions that by their nature should survive termination remain effective, including ownership, payment, disclaimers, liability limits, and dispute terms. Data handling after termination is described in the Privacy Policy.

Service changes and availability

We may change, limit, or discontinue features and may impose usage or technical limits. We do not guarantee uninterrupted operation, permanent storage, or availability of any particular provider, model, feature, generation, or output. Keep independent copies of audio you need.

Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE AND OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WAVWIRE DISCLAIMS ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT. WAVWIRE DOES NOT WARRANT THAT THE SERVICE OR OUTPUTS WILL BE SECURE, AVAILABLE, ERROR-FREE, UNIQUE, OR SUITABLE FOR YOUR INTENDED USE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS, SO THEY MAY NOT APPLY TO YOU.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WAVWIRE AND ITS OFFICERS, MEMBERS, EMPLOYEES, CONTRACTORS, LICENSORS, AND PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING FROM THE SERVICE OR OUTPUTS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THEIR TOTAL AGGREGATE LIABILITY ARISING FROM THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID WAVWIRE DURING THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. THESE LIMITS DO NOT APPLY WHERE LIABILITY CANNOT LAWFULLY BE LIMITED.

Indemnification

To the extent permitted by law, you will defend, indemnify, and hold harmless WavWire and its officers, members, employees, and contractors from third-party claims, damages, and reasonable costs arising from your User Content, your use or distribution of outputs, your violation of these Terms or law, or your infringement of another person's rights.

Governing law and disputes

These Terms are governed by Massachusetts law, without regard to conflict-of-law rules. Unless applicable consumer law requires otherwise, the state and federal courts located in Massachusetts will have exclusive jurisdiction over disputes relating to these Terms or the Service, and you consent to their jurisdiction. Before filing a claim, each party will make a good-faith effort to resolve the dispute informally by written notice to the other.

Changes to these Terms

We may update these Terms. We will post the new version and effective date and provide additional notice when required. Material changes may require renewed acceptance before continued use. Changes apply prospectively unless law requires otherwise.

General

These Terms and the Privacy Policy are the entire agreement about the Service. If a provision is unenforceable, it will be limited to the minimum extent necessary and the remainder will continue. A waiver must be in writing and is not a continuing waiver. You may not assign these Terms without our consent; WavWire may assign them in connection with a reorganization, financing, merger, or sale. Section headings are for convenience only.
